1. INTRODUCTION AND LEGAL AGREEMENT

6.4 Policy Issuance and Delivery

You acknowledge that:
Policy issuance is at the sole discretion of the insurance carrier
Policies are not in force until delivered, accepted, and the initial premium is paid (unless otherwise specified by the carrier)
Policy delivery may be electronic or physical as permitted by applicable state laws
You are responsible for reviewing all policy documents upon receipt

7. AGENCY RELATIONSHIP

7.1 Agency Appointments

We represent multiple insurance carriers as an independent insurance broker/agency. We are not employees of any insurance carrier featured on our Services.

7.2 Commission Disclosure

We receive compensation in the form of commissions and other incentives from insurance carriers when policies are issued and maintained. The compensation amount varies by product, carrier, coverage amount, and other factors. This compensation does not directly affect the premium you pay for any insurance policy.

7.3 Carrier Relationship

We are not an insurer and do not underwrite insurance policies. All insurance coverage is ultimately provided by the insurance carriers with whom we place your insurance, subject to the terms and conditions of the policies issued by those carriers.

7.4 Client Relationship

By using our Services to purchase insurance, you designate us as your insurance broker of record, authorizing us to:
Represent you in insurance transactions
Communicate with insurance carriers on your behalf
Service your insurance policies
Receive commission and applicable compensation for policies placed through us

You may revoke this designation at any time by notifying us and the applicable insurance carrier in writing.

8. INTELLECTUAL PROPERTY

8.1 Ownership

All content, features, and functionality on our Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by Diabetic Insurance Solutions, our licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial purposes related to exploring or purchasing insurance products. This license does not include the right to:
Modify, reproduce, distribute, or create derivative works based on our Services
Use any data mining, robots, or similar data gathering methods
Download any portion of our Services except as expressly permitted
Use our Services for any commercial purpose
Transfer your rights under these Terms

Diabetic Insurance Solutions, our logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Diabetic Insurance Solutions or our affiliates. You may not use these marks without our prior written permission.

9. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

DIABETIC INSURANCE SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Insurance Information Disclaimer

WE DO NOT WARRANT OR REPRESENT THAT:
THE INSURANCE INFORMATION PROVIDED THROUGH OUR SERVICES IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE
ANY INSURANCE PRODUCT DESCRIBED ON OUR SERVICES WILL BE AVAILABLE TO YOU
ANY INSURANCE PRODUCT WILL MEET YOUR SPECIFIC NEEDS OR REQUIREMENTS
UNDERWRITING DECISIONS WILL BE FAVORABLE TO YOU
PREMIUMS WILL REMAIN UNCHANGED AFTER INITIAL POLICY ISSUANCE
POLICIES WILL NOT BE CANCELLED OR MODIFIED BY CARRIERS IN ACCORDANCE WITH THEIR TERMS

INSURANCE PRODUCT INFORMATION IS SUBJECT TO CHANGE WITHOUT NOTICE, AND THE FINAL TERMS OF ANY INSURANCE POLICY ARE GOVERNED SOLELY BY THE POLICY DOCUMENTS ISSUED BY THE INSURANCE CARRIER.

9.3 Professional Advice Disclaimer

OUR SERVICES PROVIDE INFORMATION ABOUT INSURANCE PRODUCTS AND SERVICES, BUT WE DO NOT PROVIDE TAX, LEGAL, MEDICAL, FINANCIAL, OR INVESTMENT ADVICE. ANY DECISIONS BASED ON INFORMATION OBTAINED FROM OUR SERVICES OR OUR REPRESENTATIVES ARE YOUR SOLE RESPONSIBILITY. YOU SHOULD CONSULT WITH APPROPRIATE PROFESSIONALS FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.

10. LIMITATION OF LIABILITY

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIABETIC INSURANCE SOLUTIONS, OUR AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE OUR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES SHALL BE LIMITED TO THE AMOUNT YOU HAVE PAID US, IF ANY, FOR USING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.2 Exclusions

Some jurisdictions do not allow the exclusion or limitation of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. In these jurisdictions, our liability will be limited to the greatest extent permitted by law.

10.3 Essential Purpose

The limitations of damages set forth above are fundamental elements of the basis of the bargain between us and you. The limitations of liability provide allocation of risk between us and you. The limitations of liability will survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Diabetic Insurance Solutions, our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Your violation of these Terms
Your use of our Services, including but not limited to your User Contributions
Any information you submit through our Services
Any misrepresentation or fraud in the insurance application process
Your violation of any law or regulation
Your violation of any third party's rights

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to any principles of conflicts of law. For any dispute relating to insurance policies, the laws of the state where the policy is issued may also apply as required by state insurance regulations.

12.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, our Services, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator knowledgeable in insurance matters, and shall take place in Chicago, Illinois. The arbitration proceedings shall be conducted in English, and all documentation shall be presented and filed in English.

The arbitrator shall have exclusive authority to resolve all disputes, including disputes concerning the scope, validity, or enforceability of this arbitration provision. The arbitrator shall have the power to grant any remedy or relief that would be available in court, including the award of attorneys' fees when authorized by law.

The arbitrator's award shall be final and binding on all parties, and judgment may be entered on the arbitrator's award in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND DIABETIC INSURANCE SOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Unless both you and Diabetic Insurance Solutions agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court.

12.5 Limitations Period

YOU AND DIABETIC INSURANCE SOLUTIONS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO OUR SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

13. TERMINATION

13.1 Termination by Us

We may terminate or suspend your access to all or part of our Services, including any account you may have, with or without notice, for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

13.2 Termination by You

You may terminate these Terms at any time by discontinuing your use of our Services and closing any account you have with us. If you have active insurance policies placed through us, termination of these Terms does not automatically terminate your insurance coverage or our broker of record status.

13.3 Effect of Termination

Upon termination for any reason, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

14. INSURANCE-SPECIFIC PROVISIONS

14.1 Replacement Disclosure

If you are considering replacing an existing life insurance policy, you acknowledge that:
You must receive and sign all required replacement forms and notices
Replacement may not be in your best interest in all circumstances
There may be surrender charges, waiting periods, or tax implications
New policies may be subject to new contestability and suicide exclusion periods
You may be subject to new underwriting requirements and potentially higher premiums

14.2 Free Look Period

All insurance policies issued through our Services are subject to a "free look" period (typically 10-30 days, depending on state regulations) during which you may cancel the policy for a full refund of premiums paid.

14.3 Policy Controlling

The insurance policy as issued by the carrier constitutes the entire agreement between you and the insurance carrier regarding your coverage. In the event of any conflict between information on our Services and the policy, the policy language controls.

14.4 Illustrations and Projections

Any policy illustrations, premium projections, or values shown for permanent life insurance products are not guarantees of future performance, except for guaranteed elements explicitly identified as such in the illustration. Actual results may be more or less favorable than those illustrated based on actual interest rates, policy charges, dividends, and other factors.

14.5 Medical Underwriting

Life insurance, particularly for individuals with diabetes, typically requires medical underwriting. You acknowledge that this process may include:
Reviews of medical records
Blood and urine tests
Medical examinations
Prescription database checks
Medical Information Bureau (MIB) reports
Other requirements as determined by the insurance carrier

The final decision on insurability and premium rates rests solely with the insurance carrier.

15. THIRD-PARTY LINKS AND CONTENT

Our Services may contain links to third-party websites and services, including insurance carrier websites. These links are provided solely for your convenience and do not imply any endorsement, sponsorship, or approval by us. We have no control over the content, privacy policies, or practices of any third-party websites or services and assume no responsibility for any loss or damage that may arise from your use of such websites or services.

16. MISCELLANEOUS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and us concerning your use of our Services and supersede all prior communications, agreements, proposals, or representations, whether electronic, oral, or written, between you and us regarding the matters contained herein.

16.2 Severability

If any provision of these Terms is found by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Diabetic Insurance Solutions.

16.4 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction.

16.5 Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including, without limitation, acts of God, fire, flood, severe storm, earthquake, civil disturbance, lockout, riot, war, terrorist acts, governmental regulations, or other similar events.

16.6 Relationship of Parties

Nothing in these Terms is intended to or shall operate to create a partnership, joint venture, agency, or employment relationship between you and us. You acknowledge that you are not an employee, agent, or representative of Diabetic Insurance Solutions and have no authority to bind us in any manner.
